Terms of Service

Effective date: 18 March 2026

These Terms of Service ("Terms") govern your access to and use of the Clerq platform and related services (the "Services") provided by Clerq Pte Ltd ("Clerq", "we", "us"), a company incorporated in the Republic of Singapore with UEN [Insert UEN].

By creating an account, clicking "I Agree", or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.


1. Description of Services

Clerq provides a cloud-based corporate compliance and financial management platform intended for business and commercial use by Singapore entities. The Services include, but are not limited to:

  • Document management and version control.
  • Bookkeeping and transaction management.
  • Financial statement generation and tax computation.
  • ACRA and IRAS filing preparation and tracking.
  • AI-powered financial analysis, document generation, and OCR extraction.
  • Electronic signature collection and management.
  • Audit trail and compliance logging.
  • Third-party integrations (e.g., Xero) for financial data synchronisation.

Clerq reserves the right to modify, suspend, or discontinue any feature of the Services at any time, with reasonable notice provided where practicable.

2. Accounts and Registration

2.1 Account Creation

You must provide accurate, current, and complete information when creating an account. Clerq reserves the right to suspend or terminate your account if any information provided during registration or thereafter is found to be inaccurate, false, or misleading.

2.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access to your account or any other breach of security.

2.3 Age Requirement

You must be at least 18 years of age to use the Services.

2.4 Multi-User and Team Access

One person or entity may maintain multiple company profiles within a single account, and an account holder may authorise additional sub-users (e.g., employees, accountants, or directors) to access the Services. The primary account holder is fully responsible and liable for all actions taken by authorised sub-users and must ensure their compliance with these Terms.

3. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of applicable laws, including Singapore law.
  • Upload false, misleading, or fraudulent financial records or documents.
  • Attempt to gain unauthorised access to other users' accounts, data, or the underlying systems of the Services.
  • Interfere with or disrupt the integrity, security, or performance of the Services.
  • Use the Services to facilitate or generate documents for illegal activities, including but not limited to money laundering, tax evasion, or fraud.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Services, except to the extent expressly permitted by applicable law (such as interoperability provisions under the Copyright Act 2021).
  • Resell, sublicense, or redistribute access to the Services without our prior written consent.

4. Your Data and Content

4.1 Ownership

You retain all ownership rights to the data, financial records, and documents you upload to or create through the Services ("Your Content").

4.2 Licence Grant

You grant Clerq a limited, worldwide, non-exclusive licence to process, store, and display Your Content solely for the purpose of providing and maintaining the Services. This includes the right to sub-license these rights to our trusted third-party service providers and subprocessors (such as cloud hosting providers), provided they are bound by appropriate confidentiality and data protection obligations as detailed in our Privacy Policy.

4.3 Responsibility

You are solely responsible for the accuracy, quality, integrity, and legality of Your Content. We do not claim ownership of Your Content and will not use it for purposes other than providing the Services.

4.4 Data Portability

You may export Your Content from the Services at any time using the built-in export tools, subject to any applicable data retention policies.

5. AI-Generated Content

5.1 Nature of AI Outputs

The Services include AI-powered features that generate document drafts, financial analyses, transaction categorisations, and data extractions. All AI-generated content is provided as a draft and starting point only. It does not constitute legal, tax, accounting, or financial advice.

5.2 Verification and Accuracy

You are solely responsible for reviewing, verifying, and approving all AI-generated content - including numerical figures, calculations, and legal phrasing - before reliance or use. Clerq does not warrant the accuracy, completeness, or legal sufficiency of any AI-generated content. You should engage qualified professionals (such as lawyers, accountants, or corporate secretaries) for advice on legal and regulatory matters.

5.3 AI Model Training

Clerq will not use Your Content to train, fine-tune, or improve our proprietary or third-party AI models without your explicit, prior consent.

6. Electronic Signatures

6.1 Legal Validity

The e-signing feature enables the collection of electronic signatures as defined under Singapore's Electronic Transactions Act (Cap. 88) ("ETA"). By using the e-signing feature, you acknowledge that electronic signatures collected through the Services are intended to be legally binding and enforceable.

6.2 Audit Trails

To support the integrity and enforceability of signed documents, Clerq records audit trail information (including IP addresses, timestamps, and browser details) for each signature. This audit trail is retained for the duration of your account and will be available for export upon account termination.

6.3 Excluded Documents

Certain documents may require wet-ink signatures under Singapore law (e.g., wills, powers of attorney, real estate conveyances, and certain negotiable instruments). It is your sole responsibility to determine whether electronic signatures are legally sufficient for your specific use case.

6.4 No Party to Agreements

Clerq is not a party to any agreement or document signed through the Services and bears no liability for the content, validity, or enforceability of such documents.

7. Third-Party Integrations

7.1 Authorisation

The Services may integrate with third-party platforms (e.g., Xero, banking APIs) at your direction. By connecting a third-party integration, you authorise Clerq to access, read, and synchronise data from that platform to the extent necessary to provide the Services.

7.2 Third-Party Terms

Third-party services are governed by their own terms of service and privacy policies. Clerq is not responsible for the availability, accuracy, or security of third-party services. You may disconnect integrations at any time through the platform settings. Data accessed from third parties will be handled in accordance with our Privacy Policy.

8. Regulatory Filings

8.1 Preparation vs. Submission

The Services assist with the preparation of filings for the Accounting and Corporate Regulatory Authority (ACRA) and the Inland Revenue Authority of Singapore (IRAS). Unless explicitly stated otherwise in the platform interface, actual submission to government portals requires separate, manual action on your part.

8.2 User Responsibility

You are solely responsible for the accuracy, completeness, and timeliness of all regulatory filings. Clerq does not guarantee acceptance of any filing by ACRA, IRAS, or any other regulatory authority.

8.3 Penalties

You acknowledge that failure to file, late filing, or inaccurate filing may result in penalties, fines, or legal action under Singapore law. Clerq bears no liability for any such penalties or consequences.

9. Fees and Payment

9.1 Subscriptions and Fees

Certain features of the Services require a paid subscription. Pricing, billing cycles, and payment terms are set forth on our pricing page or in a separate order form, which is incorporated into these Terms by reference. All fees are quoted in Singapore Dollars (SGD) and are exclusive of Goods and Services Tax (GST) unless stated otherwise.

9.2 Auto-Renewal

Unless you cancel your subscription prior to the end of the current billing cycle, your subscription will automatically renew for the same duration. You authorise us to charge your payment method on file for the renewal term.

9.3 Cancellations and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing cycle. Except as required by law or explicitly stated otherwise, all fees paid are non-refundable, and we do not provide prorated refunds for partial billing periods.

9.4 Price Changes

We reserve the right to modify our pricing with at least 30 days' advance notice. If you do not agree to the new pricing, you may terminate your subscription without penalty before the new pricing takes effect.

10. Limitation of Liability

To the maximum extent permitted by applicable law, including Singapore law:

10.1 "As Is" Provision

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. Clerq does not warrant that the Services will be uninterrupted, error-free, completely secure, or free from vulnerabilities.

10.2 Exclusion of Damages

Clerq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising from or related to your use of the Services.

10.3 Liability Cap

Clerq's total aggregate liability for any claims arising from or related to the Services shall not exceed the greater of (a) the total fees paid by you to Clerq in the twelve (12) months preceding the event giving rise to the claim, or (b) SGD 500.

11. Indemnification

You agree to indemnify, defend, and hold harmless Clerq, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Services in violation of these Terms.
  • The content of documents you create, upload, or sign through the Services (excluding the underlying unedited drafts generated by our AI features).
  • Your failure to comply with applicable laws and regulations.
  • Any claim arising from the actions of your authorised sub-users.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at support@clerq.sg or via the platform settings.

12.2 Termination by Clerq

We may suspend or terminate your access to the Services:

  • Immediately, if you materially breach these Terms, engage in illegal activities, or if required by law.
  • For any other reason, by providing you with at least fourteen (14) days' prior written notice.

12.3 Data Export Upon Termination

Upon termination, you will have a period of thirty (30) days to request an export of Your Content (including audit trails for signed documents) in a standard, machine-readable format. After this 30-day period, we may permanently delete Your Content, subject to our legal data retention obligations.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Singapore.

13.2 Small Claims

For any dispute where the total amount claimed is less than SGD 10,000, either party may elect to resolve the dispute through the Small Claims Tribunals of Singapore, provided the dispute falls within its jurisdiction.

13.3 Arbitration

Subject to Section 13.2, any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC for the time being in force. The seat of the arbitration shall be Singapore. The Tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English.

14. Modifications

We may modify these Terms from time to time. For material changes that affect your legal rights, liability, or pricing, we will notify you via email or a prominent notice on the platform at least 30 days before the changes take effect. We may require you to affirmatively accept the updated Terms (e.g., by clicking "I Agree" upon your next login). For minor or administrative changes, continued use of the Services after the effective date constitutes your acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
